WASHINGTON – The U.S. Department of the Treasury announced today that it is commencing auctions for its warrant positions in the following 11 financial institutions:
- BBCN Bancorp, Inc., Los Angeles, California;
- City Holding Company, Cross Lanes, West Virginia;
- CommunityOne Bancorp (FNB United Corp.), Charlotte, North Carolina;
- F.N.B. Corporation, Pittsburgh, Pennsylvania;
- Fidelity Southern Corporation, Atlanta, Georgia;
- First United Corporation, Oakland, Maryland;
- HMN Financial, Inc., Rochester, Minnesota;
- M&T Bank Corporation, Buffalo, New York;
- Synovus Financial Corp., Columbus, Georgia;
- The First Bancorp, Inc., Damariscotta, Maine; and
- Valley National Bancorp, Wayne, New Jersey.
The auctions will commence at 8 a.m., Eastern Daylight Time, on May 20, 2015, and will close at 6:30 p.m., Eastern Daylight Time, on May 20, 2015. During the auction period, appropriately qualified bidders will be able to submit bids at prices at or above the minimum bid price specified to them for each warrant position.
The warrants that will be sold in the auctions have not been, and will not be, registered under the Securities Act of 1933, as amended (the “Act”), and may not be offered or sold in the United States or to, or for the benefit of, U.S. persons absent registration under, or an applicable exemption from, the registration requirements of the Act and applicable state securities law. The warrants will be offered only to (1) “qualified institutional buyers” as defined in Rule 144A under the Act, (2) certain institutional “accredited investors” as defined in Rule 501(a) under the Act that have total assets of not less than $25,000,000 and (3) in certain cases, certain directors and executive officers of the respective issuers of the warrants.
